• Promises are over.
• Losing party could sue for value of the benefits performed
  • Equity: Could be awarded either the market value or value in contract, whichever is the smaller amount.
    • Ex.  If the court finds there was a material breach and terminates the contract, GuitarMan could sue for the value of the parts of the guitar that Stephanie received.
